Reports directly to the Vice President, Cash, Investments and Debt Financing. Responsible for providing leadership, direction, and regulatory adherence of CHRISTUS Health's debt portfolio, which includes:
(1) $1.6 billion debt outstanding in the public capital markets, structure, and execution of new debt
(2) $912 million notional swap portfolio,
(3) $150 million operating line of credit
(4) Equipment lease portfolio
(5) Other direct debt incurred by the system.
Also responsible for CHRISTUS Debt compliance program for public and private debt. This position collaborates with hospital finance and accounting to track private use throughout the system; collaborates with internal stakeholders at all levels, including our senior executive team, investment bankers, external and internal counsel and rating agencies.
Included in these responsibilities are:
(1) All bond & swap related cash payments
(2) Development and implementation of processes across regions to ensure CHRISTUS compliance with debt covenants, IRS regulations and any reporting required.
Related to Leadership and Management:
Provide leadership for the selection, training, development, and performance outcomes of the Associates in the areas of responsibility.
Enhance the work environment to ensure Associate engagement and satisfaction.
Place high focus on process improvement and development of direct reports.
Promote personal and team accountability for all job functions within areas of responsibility. Resolve or facilitate the resolution of issues and concerns that create barriers to a high performing team and work environment.Works with region's senior management to ensure appropriate tracking of bond financed assets and appropriate use of these assets. If not managed appropriately, CHRISTUS is subject to IRS penalties and inability to access the tax-free municipal markets.
Related to Capital Markets:
Under the supervision of the VP, Cash, Investments, and Debt Financing,
Maintain relationships with bankers in industry to ensure knowledge of all available debt products.
Thorough knowledge of existing legal documents connected to the portfolio and participation in drafting and negotiating future legal documents connected to the portfolio.
Maintain knowledge of issues within the industry by monitoring publications related to potential regulatory changes for bond or swap instruments. Monitor agreement partners for impact to the Bond & Swap portfolio.
Perform special projects as requested by Vice President, Cash, Investments and Debt Financing.
Manage the process to distribute bond project funds and monitor bond-funded assets to ensure compliance with tax laws.
Coordinate the collection of necessary information for future bond offerings and current issued bonds
Work closely with underwriter's counsel, bond counsels, and borrower's counsel regarding new issuances and ongoing reporting and tax compliance.
In collaboration with the System Director Investments, review reporting related to fixed-payor and basis swaps, monitor trading rates report showing pricing of variable rate securities and initiate discussions potential modifications or additions to swap portfolio or variable rate debt portfolio. Monitor investment of unspent bond funds.
During public financings and in collaboration with the System Director Investments, recommend capital structure and coordinate execution of capital structure with investment bankers. Coordinate the preparation of the rating agency report collaborating with appropriate executives within the corporate office and across the system.
Related to Compliance Reporting:
Under the supervision of the VP, Cash, Investments and Debt Financing, Manage bond compliance and private use issues, ensuring compliance with tax and SEC laws and disclosure agreements including the following:
Works closely with legal to ensure appropriate contracts include language that exempts contracts from private use issues.
Develop and execute training for system finance and legal professionals to ensure compliance with bond and other debt agreement covenants
Responsible for the completion of Schedule K, Form 990 for CHI and affiliates
Develop and maintain database to monitor bond continuing disclosure agreements, insurance and bank agreement covenants and other requirements to ensure timely and accurate reporting and filing of information required to be filed public
Responsible for ensuring credit support agreements are current.
Manage the external annual audit process with respect to compliance ratios to ensure all work papers are prepared and reviewed in accordance with the audit timeline.
Bachelor degree in Accounting, Business or Finance.
MBA in Finance or equivalent experience
Proficient in Microsoft Office products required, including Power Point, Excel, Word and Access.
Extensive knowledge of GAAP and other applicable regulatory rules, regulations & legislation as related to accounting functions.
Excellent written and verbal communication skills; ability to communicate with all levels of personnel in a large organization.
Ability to assess complicated legal documents.
Excellent organizational skills.
Bachelor degree in Accounting, Business or Finance
MBA in Finance or equivalent experience

Five years or more capital markets experience at either an investment bank or an issuer.
2 to 3 years Debt Compliance experience
Experience working directly with the rating agency preferred
Demonstrated knowledge of accounting systems and ability to automate manual processes.
Demonstrated ability and experience in interacting with all levels of Management and other Associates.
D. Licenses, Registrations, or Certifications
CPA and/or CFA helpful, but not required
